SERVICE TERMS & CONDITIONS
These Service Terms and Conditions (the “Terms”) set forth the terms and conditions for the online courses, seminars, and consulting services (the “Services”) provided by Learning Shift Inc. (the “Company”).
Article 1 (Applicability)
- These Terms apply to all users of the Services. By applying for the Services, the user is deemed to have agreed to these Terms.
- If the Company and the user enter into a separate written agreement (e.g., a service contract), the provisions of such agreement shall prevail in case of any conflict with these Terms.
Article 2 (Fees and Payment)
- The user shall pay the service fees as indicated on the Company’s website or as separately agreed upon.
- Payment shall be made via credit card, bank transfer, or other methods designated by the Company.
- Users are responsible for internet connection fees, telecommunications costs, and bank transfer fees.
Article 3 (Intellectual Property Rights)
All intellectual property rights, including but not limited to materials, videos, text, and know-how provided through the Services, belong to the Company or the respective right holders. Users may not reproduce, modify, or resell these materials for any purpose other than personal learning.
Article 4 (Cancellations and Refunds)
Due to the nature of the Services (digital content and professional services), the Company generally does not accept cancellations or refunds after payment for the user’s personal reasons. For recurring services (e.g., consulting), termination shall follow the terms of the individual contract.
Article 5 (Prohibited Acts)
Users shall not engage in the following acts:
- Recording or redistributing the Services without permission.
- Harassment or solicitation of other students.
- Direct engagement or solicitation of the Company’s instructors or employees for business or employment without the Company’s prior written consent (Non-solicitation).
- Any other acts that interfere with the Company’s operations.
Article 6 (Disclaimers and Limitation of Liability)
- The Company does not guarantee that the Services will produce specific results (e.g., increased sales).
- The Company shall not be liable for any damages caused by Force Majeure, including natural disasters, pandemics, or telecommunication infrastructure failures.
- The Company’s liability for damages shall be limited to direct and ordinary damages and shall not exceed the amount paid by the user in the month the damage occurred.
Article 7 (Anti-Social Forces)
The Company may terminate the Services immediately without notice if the user is found to be associated with anti-social forces (organized crime groups, etc.).
Article 8 (Confidentiality)
Both parties shall keep any non-public information obtained through the Services confidential and shall not disclose it to any third party.
Article 9 (Governing Law and Jurisdiction)
- These Terms shall be governed by the laws of Japan.
- Any dispute arising in connection with the Services shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
